FirstCaribbean International Bank    - FirstCaribbean chairman's review  (03/13/2006):
CHAIRMAN'S REVIEW

For the period ended January 31, 2006

I am pleased to report another quarter of growth and expansion in your Bank. Not only have we completed the acquisition of the ABN AMRO Offshore and Wealth Management business in Curaçao and rebranded it under the FirstCaribbean umbrella, the first quarter of our fiscal year has shown very strong results in our core operations. Excluding the gain on sale of the Republic Bank shares of $117 MM reported last year, our earnings were up 35% year-on-year.

Net income for the period was $43.0 million as compared to $31.8 million in the prior year (excluding the Republic Bank share gain). Net interest income has risen by $6.7 million or 9% over the prior year as a result of increase in loan balances and improved US$ rate spreads, despite the costs of our subordinated debt of $2.6 million (which was issued in March 2005 to replace our preference shares).

Normalised operating income was $5.3 million (17%) above the prior year, benefiting from strong performances in capital market transactions and returns from the outsourced investment portfolios.

Loan balances now stand just below the $5.0 billion mark, reflecting year on year growth of $974 million or 24%, a record for your institution. Total assets stand at $9.6 billion.

Operating expenses were below the prior year by 1% and our efficiency ratio (ratio of costs to revenues) was 56.9%, reflecting our continued efforts to improve productivity and manage growth in an effective and efficient manner.

Annualised return on equity for the quarter was 20.8% versus13.8% for 2005.

These results do not include the operations of our recently acquired business in Curaçao as this transaction was completed at the end of the quarter.

Based on current economic and market conditions continuing, management expects full year earnings to be in the range of 10.8 cents to 11.4 cents per share.

Recent Event The Board of Directors of FirstCaribbean was informed that CIBC and Barclays had signed a non-binding Letter of Intent (LOI) under which CIBC would acquire Barclays 43.7% interest in FirstCaribbean at an anticipated share price of US$1.62 with a total transaction value of approximately US$1.08 billion. This LOI is subject to a number of conditions including the performance of due diligence and the negotiation and execution of definitive documentation. The transaction would also be conditional upon regulatory approvals.

Given the above, the Board deemed it appropriate to form a Special Committee of the Board, comprised of those directors of FirstCaribbean who are not affiliated with CIBC or Barclays (the Independent Directors), to review potential implications of the transaction, if any, on the company's minority shareholders. In this regard the Independent Directors, on behalf of the Board, have retained financial and legal advisors and will report to the Board. Cave Shepherd & Co. Ltd.    - Changes At Duty Free Caribbean  (03/07/2006):
In a letter to the Barbados Stock Exchange (BSE) dated November l8 2005, Cave Shepherd & Co. Ltd. (Cave Shepherd) advised the BSE of a pending transaction involving a change of ownership of Duty Free Caribbean (Holdings) Limited (DFC) and the potential of DFC going public.

Further to this, Cave Shepherd & Co. Ltd (Cave Shepherd) and Dufry International AG of Switzerland (Dufry) have agreed on a change in the ownership structure of DFC resulting in an increase in Dufrys shareholding from 50% to 60% and a corresponding reduction in Cave Shepherds shareholding from 50% to 40%. The transaction involves the issue of new shares in the capital of DFC to Dufry as well as the purchase by Dufry of shares in DFC from Cave Shepherd. Cave Shepherd & Dufry have also signed a new minority shareholders agreement reflecting the change in shareholding of DFC.

It is planned that the proceeds from the share subscription of BDS$26 million will be used by DFC primarily to acquire the remaining 50% of the Colombian Emeralds operations in the islands of Antigua, St. Maarten, St. Lucia, Aruba and St. John, which consists of [15] fine jewellery retail stores. The purchase of these operations will represent another major achievement as DFC continues its expansion in the Caribbean region and will provide the opportunity for further growth in these territories.

This represents the first phase of a process designed to enhance the prospects of DFC and allow the public to share in the success of this company through a potential pubic offering of shares in DFC on the Barbados Stock Exchange.

The above transactions are all subject to the necessary regulatory approvals.

It is considered that these transactions will better position Cave Shepherd to participate in the substantial growth envisaged for DFC, by retaining a significant interest in DFC while partnering with the public and Dufry, which is the one of the largest international duty free retailers, in the financing and management of DFCs future expansion in the Region.

Cave Shepherd & Co. Ltd.    - Statement from the Cave Shepherd Chairman  (11/22/2005):
We would like to advise you that at a Board of Directors meeting yesterday afternoon, we approved the financial statements of the company for the year ended September 30 2005, subject to finalising our audit later this week. We are pleased to report that the results are again very encouraging, with profits improving from $14.6 million last year to $18.2 million this year, an increase of approximately 25%. We consider this to be an excellent return bearing in mind that we had a number of non-recurring gains last year.

Since year end, the company would like to report that it has now completed the previously reported transaction regarding the sale of the Broad Street Building to CS&C Joint Venture, which is made up of a group of institutional and pension fund investors and for which Cave Shepherd has taken a small interest. This transaction has netted proceeds of $34 million which realized a net gain of $886,150 which has been included in the 2005 financial statements.

The Cave Shepherd Board approved a resolution in principle for Duty Free Caribbean (DFC) to seek to become a publicly traded company and list their shares on the Barbados Stock Exchange (BSE). It is expected that up to a maximum of 20% of the shares of DFC would be offered to the public, probably in stages depending on company performance, capital requirements and prevailing market conditions. The timing and process of a possible stock exchange listing has not yet been considered by Dufry Holding Ltd or the BSE and it will be also be subject to approval by the DFC Board of Directors.

The Board also approved that we enter a Memorandum of Understanding with Dufry Holding Ltd for the possible sale of up to 20% of the shares in Duty Free Caribbean for a sum not exceeding $48 million. This transaction is by no means finalised and will be subject to a satisfactory minority agreement and numerous other conditions. It is expected that Cave Shepherd will continue to retain a major interest of between 20% and 30% of a larger, more widely held & publicly traded DFC.

Furthermore, although an agreement has not yet been signed, the Board supported a possible strategic alliance with a company called Tourvest, the largest tourism company in Southern Africa operating a chain of 60 destination stores in that region, amongst other businesses, which highlight items of African origin. Tourvest will be working with the company to develop a brand, Island Origins, across the Caribbean. Please feel free to contact me directly if you require any further details.
